TERMS OF SERVICE
1. Acceptance of the Terms of Service
These Terms of Service (the “Terms”) govern your (“user”, “you” or “your”) access to and use of the websites, applications, interfaces, content, products and services operated by Anodos Labs Inc., a Wyoming corporation, with registered address at 30 N Gould St Ste N, Sheridan, WY 82801 (“Anodos”, “we”, “us” or “our”), including https://anodos.finance and any related subdomains, dashboards, or applications (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, available at https://anodos.finance/privacy-policy. If you do not agree to these Terms, you must not access or use the Services.
Updates to the Terms
We may revise and update these Terms at any time at our sole discretion. Changes are effective immediately when posted and apply to all access to and use of the Services thereafter. However, changes to the dispute resolution provisions will not apply to any disputes for which the parties have actual notice prior to the date the change is posted.
2. Eligibility
You represent and warrant that:
- you are at least 18 years of age (or the age of majority in your jurisdiction, if higher);
- you have full legal capacity and authority to enter into these Terms; and
- if you access the Services on behalf of a legal entity, you have authority to bind that entity to these Terms, and all references to “you” or “your” include such entity.
It is your responsibility to ensure that using the Services is lawful in the jurisdiction from which you access them. You must not access or use the Services where such access or use would be unlawful or would cause us to be in breach of any applicable law.
3. IMPORTANT NOTICE REGARDING ARBITRATION AND CLASS ACTION WAIVER
PLEASE BE AWARE THAT THESE TERMS CONTAIN AN ARBITRATION AGREEMENT WHICH, WITH LIMITED EXCEPTIONS, REQUIRES DISPUTES BETWEEN YOU AND US TO BE SUBMITTED TO BINDING AND FINAL ARBITRATION. YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS ON AN INDIVIDUAL BASIS AND YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL.
4. Definitions
- “Account” means your blockchain account, wallet, or other address capable of interacting with supported blockchain networks in connection with the Services.
- “Application” means any web or mobile application developed or made available by Anodos, including without limitation ANODEX, any Xaman xApps, and any app made available at or through https://apps.anodos.finance/.
- “Blockchain Networks” means distributed ledger or blockchain protocols supported by the Services from time to time, such as the XRP Ledger (XRPL).
- “Content” means any information, documentation, data, materials, graphics, text, code, or other content made available by Anodos through the Services.
- “Devices” means any desktop, laptop, mobile phone, tablet or other device you use to access the Services.
- “Intellectual Property Rights” means all patents, utility models, rights to inventions, copyright and neighbouring and related rights, trademarks and service marks, trade names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including trade secrets), and all other intellectual property rights, in each case whether registered or unregistered, and including all applications, renewals or extensions, and all similar or equivalent rights or forms of protection in any part of the world.
- “Products” means any tools, interfaces, analytics, dashboards, or other software or features made available by Anodos via the Services.
- “User Content” means any content, data, or other material uploaded, submitted, or otherwise provided by you through the Services, excluding Feedback.
5. Non-Custodial Interface
The Services are non-custodial software interfaces that enable you to view, access and interact with certain Blockchain Networks and related smart contracts, protocols or applications. In particular:
- Anodos does not at any time custody, control, or manage your private keys or digital assets;
- you are solely responsible for safeguarding your private keys, seed phrases, passwords and any other credentials required to access your Account or blockchain wallets; and
- transactions you initiate through the Services are executed on the relevant Blockchain Network, not by Anodos.
6. No Brokerage and/or Intermediary Services
Anodos does not:
- act as broker, dealer, adviser, agent, custodian, exchange, payment institution, money transmitter or other financial intermediary for you;
- execute, clear, settle, guarantee, or assume any liability for transactions on your behalf; or
- take possession or control of any funds or digital assets in connection with the Services.
7. No Advice or Recommendations
The Services, including any analytics, metrics, dashboards, scripts, scoring, curated lists, or other Content, are provided solely for informational and operational purposes. They do not constitute:
- investment, financial, legal, tax, accounting or other professional advice; or
- any recommendation, solicitation, or offer to buy, sell, stake, lend, borrow, or otherwise deal in any asset, token, security, derivative, financial instrument, or service.
YOU ARE SOLELY RESPONSIBLE FOR YOUR DECISIONS AND SHOULD CONSULT INDEPENDENT PROFESSIONAL ADVISERS WHERE APPROPRIATE.
8. Third-Party Protocols and Content
The Services may enable you to access, interact with, or display information about third-party protocols, blockchains, smart contracts, interfaces, or content (“Third-Party Protocols”). Anodos:
- does not operate, control, or assume responsibility for any Third-Party Protocols;
- makes no representations or warranties regarding the functionality, security, legality, or suitability of any Third-Party Protocols; and
- is not responsible for any loss or damage arising from your use of or interaction with Third-Party Protocols.
9. Restricted Persons and Jurisdictions
You must not use the Services if you are:
- listed on, or owned or controlled by any person listed on, any applicable sanctions or restricted-party list, including any list maintained by the U.S. Office of Foreign Assets Control (OFAC), the U.S. Department of State, the U.S. Department of Commerce, or any similar authority;
- located, organised or resident in any country or territory that is, or whose government is, the subject of comprehensive sanctions (including, as of the Last Updated date above, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions of Ukraine); or
- otherwise prohibited from accessing or using the Services under applicable law.
You must not use any technology (such as VPNs or IP proxies) to circumvent any restrictions or to disguise your location in order to access the Services from a prohibited jurisdiction.
We may restrict or block access to all or part of the Services where we reasonably believe this is necessary or desirable to comply with applicable law or regulatory requirements.
10. Account, Wallets and Security
To access certain features of the Services, you may be required to connect a compatible third-party wallet or interface. We do not create, custody or control any wallet; your relationship with your wallet provider is governed by their own terms.
You are solely responsible for:
- the security of your Devices, networks and wallets;
- maintaining the confidentiality and security of your private keys, seed phrases, passwords, and any other credentials associated with your wallet or Account; and
- all activities that occur under or through your wallet, including any transactions signed by your private keys.
If you believe your wallet has been compromised or that someone has accessed your private keys or seed phrase, you must:
- immediately discontinue use of the Services; and
- take appropriate steps to secure your wallet (e.g., migrating to a new wallet) and notify your wallet provider.
Anodos is not able to recover lost or compromised keys or reverse any transaction.
11. Licence and Prohibited Uses
Subject to your compliance with these Terms, Anodos grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Services solely for your own lawful purposes and in accordance with these Terms.
You must not (and must not attempt to):
- use the Services in violation of any applicable law, regulation, or order of any governmental or regulatory authority (including sanctions, anti-money laundering (AML), counter-terrorist financing (CTF) and anti-corruption laws);
- engage in or facilitate fraud, money laundering, terrorist financing, sanctions evasion, market manipulation, pump-and-dump schemes, wash trading, or any other abusive, manipulative, or deceptive activity;
- access or use the Services in any way that could damage, disable, overburden, interfere with, or impair the functioning of the Services, the underlying infrastructure, or any Blockchain Network;
- circumvent, or attempt to circumvent, any security or access controls, geofencing, or any other technical restrictions implemented in the Services;
- probe, scan, or test the vulnerability of the Services or any network or system connected to the Services, or breach any security or authentication measures;
- interfere or attempt to interfere with the access of any user, host, or network, including by sending a virus, overloading, flooding, spamming, mail-bombing, or scripting;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive or access the source code of the Services, except to the extent such restriction is prohibited by applicable law;
- copy, modify, create derivative works based upon, or distribute any part of the Services, other than as expressly permitted by these Terms;
- use any automated means (including robots, spiders, scripts, or scrapers) to access or collect data from the Services, except as expressly permitted by us in writing; or
- encourage or assist any third party to engage in any of the foregoing.
We may monitor use of the Services to detect and prevent prohibited activities and to comply with applicable legal and regulatory requirements. We may take any action we consider appropriate where we reasonably suspect a breach of these Terms or applicable law, including suspending or terminating access to the Services.
12. Pricing and Fees
We may charge fees in connection with your use of certain Products or features of the Services. Where applicable, the nature and amount of any fees, and the manner in which they are calculated and paid, will be displayed through the Services or otherwise communicated to you.
You are responsible for paying any network fees (including gas fees) required by the relevant Blockchain Network in order to validate and record transactions you initiate. Such fees are charged by the network, not by Anodos, and are non-refundable.
We may change our fees at any time, including by introducing new fees or charging for previously free features. Changes to fees will apply prospectively from the effective date communicated to you.
13. Intellectual Property
Ownership. Anodos and/or its licensors own all right, title and interest in and to the Services and Content, including all Intellectual Property Rights therein, except for User Content and rights expressly granted to you under these Terms.
Restrictions. Except as expressly set out in these Terms, you are not granted any rights or licences, express or implied, in or to the Services or Content. All rights not expressly granted are reserved by Anodos and its licensors.
Feedback. If you provide any suggestions, ideas, feedback or other input regarding the Services or any Products (“Feedback”), you grant to Anodos a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to use, copy, modify, create derivative works based on, and otherwise exploit such Feedback for any purpose, without obligation or compensation to you.
14. User Content
You are solely responsible for User Content you submit, upload, or otherwise make available through the Services. You represent and warrant that:
- you have all rights necessary to submit the User Content and to grant the necessary licences in this section; and
- the User Content does not infringe or violate any third-party rights or applicable laws.
You grant Anodos a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, reproduce, modify, create derivative works based on, display, perform and otherwise use the User Content as reasonably necessary to operate, improve and provide the Services.
We may remove or restrict access to any User Content that we reasonably believe violates these Terms or applicable law, or that we otherwise consider harmful, without prior notice.
15. Risks
By using the Services, you acknowledge and agree that you fully understand, have experience with, and are willing to accept the risks associated with:
- digital assets, cryptocurrencies and tokens;
- Blockchain Networks, smart contracts, and decentralised protocols;
- volatility in the value of digital assets and networks;
- potential loss of access to digital assets due to loss of private keys, seed phrases or other credentials;
- potential bugs, hacks, vulnerabilities or exploits in smart contracts, protocols or Blockchain Networks;
- changes in applicable laws, regulations or governmental policies that may adversely affect digital assets, Blockchain Networks, or the Services; and
- partial or total loss of value of any digital asset or position.
You acknowledge that any transaction initiated via the Services is irreversible once it has been submitted to the relevant Blockchain Network, and that Anodos cannot reverse, cancel, or modify any such transaction.
You are solely responsible for determining whether any transaction, strategy or use of the Services is appropriate for you, based on your own objectives, financial circumstances and risk tolerance.
16. No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT, PRODUCTS AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.
WITHOUT LIMITING THE FOREGOING, ANODOS EXPLICITLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE;
- ANY DEFECTS WILL BE CORRECTED;
- THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR
- THE INFORMATION AVAILABLE THROUGH THE SERVICES IS ACCURATE, COMPLETE OR CURRENT.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANODOS, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR CONTRACTORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES; OR
- LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY,
IN EACH CASE ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANODOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANODOS’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES SHALL NOT EXCEED THE EQUIVALENT OF ONE HUNDRED U.S. DOLLARS (USD 100).
THE LIMITATIONS IN THIS SECTION SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW, INCLUDING IN RELATION TO LIABILITY FOR FRAUD OR WILFUL MISCONDUCT.
18. Indemnity
You agree to indemnify, defend and hold harmless Anodos, its affiliates, and their respective directors, officers, employees, agents and contractors from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- your access to or use of the Services;
- your violation of these Terms or any applicable law;
- your violation of any rights of any third party; or
- any User Content you submit.
We reserve the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate with our defence of these claims.
19. Suspension and Termination
We may suspend or terminate your access to all or part of the Services, at any time and in our sole discretion, with or without notice, if we reasonably believe that:
- you have breached these Terms;
- your use of the Services poses a risk to the security, integrity, or proper functioning of the Services or any Blockchain Network;
- your use of the Services may subject Anodos or any third party to liability or regulatory or legal risk; or
- we are required to do so by law, regulation, court order, or request of any governmental or regulatory authority.
Upon termination of your access to the Services for any reason, all rights and licences granted to you under these Terms will immediately cease. The following sections, together with any other provision which by its nature should survive, will continue in full force and effect: Definitions; Non-Custodial Interface; No Brokerage and/or Intermediary Services; No Advice or Recommendations; Third-Party Protocols and Content; Licence and Prohibited Uses; Pricing and Fees (with respect to any accrued obligations); Intellectual Property; User Content; Risks; No Warranties; Limitation of Liability; Indemnity; Suspension and Termination; Changes to the Services and Terms; No Waiver; Severability; Assignment; Governing Law and Dispute Resolution (including the Arbitration clause); and Contact Information.
Termination of your access will not affect any rights or obligations of either party that have accrued prior to termination.
20. Changes to the Services and Terms
We may modify, suspend or discontinue any part of the Services at any time, with or without notice and without liability to you.
We may update these Terms from time to time. If we make material changes, we will use reasonable efforts to notify you, for example by updating the “Last updated” date at the top of these Terms, posting a notice on our website, or sending you an email.
Any changes to the Terms will become effective upon posting, unless otherwise specified. Your continued access to or use of the Services following any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
21. No Waiver
No failure or delay by Anodos in exercising any right, power or remedy under these Terms shall operate as a waiver of such right, power or remedy, nor shall any single or partial exercise of any such right, power or remedy preclude any other or further exercise of it or the exercise of any other right, power or remedy.
22. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions of the Terms shall remain in full force and effect.
23. Assignment
You may not assign, transfer or delegate any of your rights or obligations under these Terms, whether by operation of law or otherwise, without our prior written consent. We may assign, transfer or delegate our rights and obligations under these Terms without restriction, including to any affiliate or successor in connection with a merger, acquisition, corporate reorganisation, or sale of assets.
24. Governing Law and Dispute Resolution
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.
Except as otherwise provided in the Arbitration clause below, you and Anodos agree that the state and federal courts located in the State of Wyoming shall have exclusive jurisdiction for any proceedings that are not subject to arbitration and for any applications for provisional or injunctive relief or to enforce an arbitral award.
Arbitration. To the fullest extent permitted by law, any dispute, claim or controversy arising out of or relating to these Terms or your use of the Services (a “Dispute”) shall be finally resolved by binding arbitration on an individual basis, rather than in court, administered by a reputable arbitration provider (such as JAMS or the American Arbitration Association) under its applicable rules. The seat and place of arbitration shall be the State of Wyoming, U.S.A., and the language of the arbitration shall be English. You and Anodos agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, collective or representative proceeding, and the arbitrator may not consolidate or join the claims of more than one person. Nothing in this clause prevents either party from bringing an individual claim in small claims court (if eligible) or from seeking temporary or injunctive relief in a court of competent jurisdiction to protect its rights pending final resolution of the Dispute in arbitration.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ANODOS AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE IN ANY FORUM WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND NOT AS A CLASS ACTION, COLLECTIVE ACTION OR OTHER REPRESENTATIVE ACTION. YOU AND ANODOS HEREBY WAIVE ANY RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING AGAINST THE OTHER PARTY.
